4. Intellectual Property

4.1 Our Intellectual Property

The Services and their entire contents, features, and functionality — including but not limited to all software, algorithms, models, text, graphics, logos, icons, images, audio clips, and data compilations — are owned by INNOPI PRIVATE LIMITED or its licensors and are protected by Indian and international copyright, trademark, patent, trade secret, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Services in accordance with these Terms. No other use of the Services or their content is permitted without our express written consent.

4.2 Your Data

You retain all rights to the data, documents, and other materials you submit to the Services ("Your Content"). By submitting Your Content, you grant INNOPI a limited license to use, process, and store Your Content solely for the purpose of providing and improving the Services.

4.3 Feedback

Any feedback, suggestions, or ideas you provide to us regarding the Services may be used by us without restriction or compensation to you.

5. Limitation of Liability

To the fullest extent permitted by applicable law, INNOPI PRIVATE LIMITED and its directors, officers, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, goodwill, or other intangible losses, resulting from:

• Your access to or use of, or inability to access or use, the Services
• Any conduct or content of any third party on the Services
• Any content obtained from the Services
• Unauthorized access, use, or alteration of your transmissions or content
• Decisions made or actions taken based on outputs generated by our AI systems

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES EXCEED THE AMOUNT PAID BY YOU TO INNOPI FOR THE SERVICES DURING THE TWELVE (12) MONTH PERIOD IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR INR 10,000, WHICHEVER IS GREATER.

5.1 AI Outputs Disclaimer

Our Services utilize artificial intelligence and machine learning technologies. While we strive for accuracy and reliability, AI-generated outputs may contain errors, inaccuracies, or incomplete information. You should not rely solely on AI outputs for critical decisions without independent human review and verification.

6. Termination

6.1 Termination by You

You may stop using the Services at any time. If you wish to delete your account, please contact us at legal@innopi.in.

6.2 Termination by INNOPI

We may suspend or terminate your access to the Services at any time, with or without cause, and with or without notice, including if we believe that you have violated these Terms or applicable laws. Upon termination, your right to use the Services will immediately cease.

6.3 Effect of Termination

Upon termination, all provisions of these Terms which by their nature should survive termination shall survive, including but not limited to intellectual property provisions, warranty disclaimers, indemnity, and limitations of liability.

7. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the courts of Bangalore, Karnataka, India.

You agree that any legal action or proceeding between you and INNOPI shall be brought exclusively in the courts located in Bangalore, Karnataka, and you consent to the personal jurisdiction and venue of such courts.

7.1 Dispute Resolution

Before initiating any formal legal proceedings, the parties agree to attempt in good faith to resolve any dispute through informal negotiation. If the dispute cannot be resolved within thirty (30) days, either party may pursue formal remedies as permitted under applicable law.

8. Changes to Terms

We may revise and update these Terms from time to time in our sole discretion. All changes are effective immediately when we post them and apply to all access to and use of the Services thereafter.

Your continued use of the Services following the posting of revised Terms means that you accept and agree to the changes. You are expected to check this page periodically so you are aware of any changes, as they are binding on you.

If we make material changes to these Terms, we will notify you by email or by posting a notice on our website prior to the change becoming effective.
